RegulaSync Solutions Inc. (“RegulaSync”, “we”, “us”) provides regulatory accounting and advisory services to electricity distributors and related sector participants. These Terms of Use (the “Terms”) govern your access to and use of the RegulaSync website and any materials we make available on or through it (collectively, the “Site”).

By accessing or using the Site in any way, including browsing or submitting information through contact forms, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1) About RegulaSync and our content

The Site provides general information about our services. Nothing on the Site constitutes accounting, legal, or other professional advice, and you should not rely on Site content as a substitute for tailored advice.

Your use of the Site, including any contact forms or email links, does not create an accountant–client, advisor–client, or any other professional relationship with RegulaSync. Engaging RegulaSync for services requires a separate written agreement.

2) Eligibility and acceptable use

You agree to use the Site only for lawful purposes and in accordance with these Terms. You will not:

  • attempt to gain unauthorized access to any systems or data;
  • interfere with or disrupt the Site’s operation;
  • use the Site to transmit malware, spam, or unlawful content;
  • misrepresent your identity or affiliation;
  • copy, scrape, or harvest Site content except as permitted in Section 3;
  • use any automated means (including bots, crawlers, or scrapers) to access the Site, except for standard search engine crawling; or
  • reverse engineer, decompile, or attempt to derive the source code of any part of the Site.

3) Intellectual property

Unless otherwise indicated, the Site and its contents (including text, images, logos, and other materials) are owned by RegulaSync or our licensors and are protected by intellectual property laws.

You may make a reasonable number of copies of publicly available pages for internal, non-commercial use, provided you do not remove proprietary notices and you do not modify the content. All other uses require our prior written permission.

4) Feedback

If you provide suggestions, ideas, or other feedback, you grant RegulaSync a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use and incorporate that feedback without obligation to you.

5) Third-party links

The Site may contain links to third-party websites. We are not responsible for those sites or their content, or for any loss or damage that may arise from your use of them.

6) Disclaimers

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties and conditions, express or implied, including any warranties of accuracy, merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, secure, or error-free, or that any defects will be corrected.

7) Limitation of liability

To the fullest extent permitted by law, in no event will RegulaSync or our directors, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of, or inability to use, the Site, even if advised of the possibility of such damages.

Our total liability for any claim arising from or related to the Site will not exceed CAD $100 or the amount you paid (if any) to access the Site, whichever is greater.

These limitations do not apply where prohibited by law or to liability arising from your non-payment of fees (if applicable), your indemnity obligations under these Terms, or losses caused by our fraud or wilful misconduct.

8) Indemnity

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless RegulaSync and our directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Site or your violation of these Terms.

9) Privacy

Your use of the Site is also governed by our Privacy Policy, available at our Privacy Policy page. Please review it for information about how we collect, use, and disclose personal information.

10) Changes to the Site or Terms

We may update, suspend, or discontinue any part of the Site at any time without notice.

We may also update these Terms from time to time. Changes are effective when posted on the Site with a new “Last updated” date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

11) Governing law and venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. You agree to the exclusive jurisdiction of the courts located in Ontario, Canada, for any disputes arising out of or relating to these Terms or the Site.
